Terms of Service

Senturian provides software to help organisations organise AI systems, governance work, controls, evidence, review and reporting. The specific features, fees and service period for a customer are set out in the applicable order form, subscription agreement or other written agreement with Senturian.

You are responsible for keeping account credentials confidential and for activity carried out through authorised user accounts. You must provide accurate information and notify us promptly of unauthorised use.

You must not:

• use the service unlawfully or in breach of another person’s rights;
• interfere with the security, integrity or performance of the service;
• attempt to gain unauthorised access to the service or related systems;
• reverse engineer, copy or create a competing service from the platform except where law does not allow this restriction; or
• upload malicious code or content that you do not have the right to use.

You retain ownership of the content and data your organisation submits to Senturian (“Customer Data”). You give Senturian permission to process Customer Data only as needed to provide, secure and improve the service, meet legal obligations and enforce these Terms.

You are responsible for ensuring that Customer Data is collected and used lawfully and that you have the necessary rights, permissions and notices to provide it to Senturian.

Senturian and its licensors retain all rights, title and interest in the service, including its software, design, documentation and branding. Subject to these Terms and any applicable commercial agreement, we grant you a limited, non-exclusive, non-transferable right to use the service during the agreed subscription period.

Senturian helps teams organise governance work. It does not provide legal advice, certify compliance or replace professional judgement, legal counsel or a regulator’s decision. Customers remain responsible for their own decisions, obligations and use of the service.

Fees, payment terms, taxes, renewals and cancellation rights are set out in the applicable order form or subscription agreement. If there is a conflict between these Terms and that agreement, the agreement controls.

We may update the service from time to time. We will use reasonable efforts to maintain availability, but the service may be unavailable for maintenance, security or circumstances outside our control.

Each party will protect the other party’s confidential information using reasonable care and will use it only to perform or receive services under these Terms, except where disclosure is required by law.

To the maximum extent permitted by law, the service is provided “as is” and “as available”. Senturian does not warrant that the service will be uninterrupted, error-free or suitable for every use case.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities.

Liability cap: Senturian’s total liability for any claim arising from the service or these Terms is limited to the fees paid by the customer in the three months preceding the event giving rise to the claim.

We may suspend access where reasonably necessary to protect the service, investigate misuse or comply with law. Either party may terminate as set out in the applicable order form or subscription agreement.

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, except where applicable law requires otherwise.

We may update these Terms from time to time. If a change is material, we will provide notice through the service, by email or on this page. Continued use after the effective date means you accept the updated Terms.
